Public Interest Notice

This public interest notice concerns Mr Shirona Gunawardhana and certain associated entities, published due to a highly documented pattern of commercial and individual conduct that raises serious concerns regarding integrity, accountability, and ethical business practices. Such conduct includes collecting fees for services that were not delivered, failing to honour contractual obligations, issuing commitments that were subsequently reversed, ignoring multiple deadlines, and the apparent transition from one corporate entity to successor and associated entities while outstanding liabilities remained unresolved.

It is recognised that commercial engagements can fail. Refusing to return fees that are contractually due for refund, without a stated legal basis or substantive explanation, is unacceptable.

The US$61,000 refund remains unpaid and is retained without any stated legal or commercial basis. Mr Gunawardhana has actively sought to evade legal and financial accountability, despite extensive efforts by our clients to resolve the matter privately and amicably. His conduct demonstrates a sustained pattern of avoiding responsibility for documented, contractual, and acknowledged obligations.

Despite making multiple commitments to fulfil those obligations, his actions reflect a complete lack of professionalism, integrity, and good faith in commercial and personal dealings. Any individual or organisation considering engaging Mr Gunawardhana or any affiliated entity is strongly urged to exercise extreme caution and conduct rigorous, independent due diligence.

Awareness and Due Diligence Notice

A Warning for Prospective Counterparties

Mr Shirona Gunawardhana was the principal of Market Kinetics LLC, a Nevada entity now recorded as revoked. He is currently associated with CONTACTANT Capital LLC and CONTACTANT Capital Partners LLC (CONTACTANT), whose websites include contactant.capital and contactant.com.

The record reflects a sustained pattern of failed performance, repeated assurances, missed commitments and avoidance of accountability: timelines extended without contractual delivery; responsibility transferred without written amendments; organisational changes invoked to distance the principals from earlier commitments; individual claimants separated from collectively acknowledged obligations; and invoices routed through non-standard channels. All communication ceased, and formal legal demands issued in two jurisdictions were ignored.

Taken together, the evidence raises serious concerns regarding potentially fraudulent and deceptive representations, unauthorised retention of funds subject to acknowledged refund obligations, avoidance of contractual responsibility, and conduct incompatible with professional and ethical business practice: a prolonged sequence of representations, reversals and failures, not an isolated missed deadline.

An independent professional contact has described materially similar conduct in a separate matter. Each account stands on its own evidence; the comparison raises a legitimate concern that the conduct here was not isolated or accidental.

The affected stakeholders regret that publication has become necessary. As their representatives, and having regard to the extensive private efforts made to resolve this matter, we consider it important that prospective clients, investors and counterparties can access the documentary record before deciding whether to engage with Mr Gunawardhana or associated entities.

While Mr Gunawardhana may seek to present an alternative version of events, the position set out here rests on contemporaneous correspondence, executed agreements, payment records, corporate filings, recorded communications and formal legal correspondence, and is clear and internally consistent.

This matter also represents a serious breakdown of professional and personal trust. The engagement arose through a trusted mutual contact who vouched for Mr Gunawardhana and committed personal funds. Extensive flexibility and repeated private efforts secured neither delivery nor repayment; after complying in full with the repayment instructions imposed, the introducing party faced unanswered requests and blocking.

US$61,000 in service fees remains outstanding. No part of the acknowledged refund has been repaid.

Negotiation, private outreach and formal legal demands were each met with avoidance, reversal or silence: sustained evasion of contractual, personal and legal accountability.

Prospective clients, investors and counterparties should exercise extreme caution and examine this record before entrusting funds, credibility or commercial responsibility to the parties concerned. The publication invites a substantive, documented response and maintains a standing right of reply.

02 / Summary

Summary

On 22 June 2023, Market Kinetics LLC, the Nevada entity operated by Mr Shirona Gunawardhana, entered into a Service Agreement to provide professional fundraising and related services. The client paid US$65,500 by international wire transfer in instalments, comprising US$61,000 in service fees and a US$4,500 non-refundable filing fee. The agreement contained express refund provisions requiring the return of all fees, other than the filing fee, if the specified services were not delivered within the agreed timeframe of 12 to 14 weeks.

Market Kinetics failed to deliver despite extensions taking the engagement to over 26 weeks, ending on 31 December 2023. No funding was secured, no investor meeting or pitch was convened and no contractual milestone was achieved. During that period, Mr Gunawardhana withdrew from direct involvement and transferred operational responsibility to Mr Courtney Olujobi without the written amendment required by the agreement, while remaining involved in the project.

When it became entirely evident that no funding would be secured and no agreed deliverables would be achieved, our client was left with no choice but to terminate the agreement in January 2024 for complete non-performance. The following day, Mr Olujobi replied on behalf of Market Kinetics acknowledging the failure and committing in writing to refund the full US$61,000 service fee by 15 March 2024. That clear commitment was not honoured.

The correspondence that followed documents an escalating pattern of deferred obligations, contradictory explanations and broken deadlines:

March 2024: Management Change and Revised Refund Deadline
Market Kinetics announced "new management and ownership," stated that Mr Olujobi had departed, and described Mr Gunawardhana as holding only a "limited advisory role." The 15 March 2024 refund commitment was characterised as an error and deferred to 15 June 2024, while the same correspondence stated that Mr Gunawardhana had requested expedited repayment, exposing a material inconsistency in the explanation of his role.
May 2024: Refund Obligation Reaffirmed
Market Kinetics confirmed the obligation in writing multiple times, stating it would "abide by the agreement."
June 2024: Position Reversed
Nineteen days later, the affected parties were instructed to "pursue arbitration or wait" and cease further email correspondence. It disputed neither the amount owed nor the refund obligation, and supplied no justification or basis for abandoning the commitment.
July 2024: Further Deadlines Breached
Additional refund deadlines throughout July passed without payment.
Introducing Party: Separate Recovery Attempts
The mutual party who had personally vouched for Mr Gunawardhana and committed their own funds alongside the affected parties was directed to route invoices to a Fort Wayne, Indiana address, restrict correspondence to printed mail, and limit the claim to their individual portion. Those instructions were complied with in full. All communication ceased, the individual was blocked across messaging platforms, and no repayment was made.

Formal demand letters were issued through legal counsel in 2024 and 2025. Both demands were ignored. US counsel raised the concern that Market Kinetics and its principals "do not appear to have the requisite broker/dealer registrations and licenses" and identified further entities that "appear to share identical ownership and websites." These are serious concerns expressed in counsel’s correspondence.

While the refund remained unpaid, CONTACTANT Capital LLC and CONTACTANT Capital Partners LLC were formed in Delaware on 4 and 7 March 2024 respectively, with Mr Gunawardhana and Mr Olujobi identified as Fund Managers. The preserved Nevada record lists Market Kinetics LLC as revoked. Overlapping personnel and promotional material make the transition a legitimate subject of scrutiny.

Separately, an independent professional contact with direct experience of Mr Gunawardhana in an unrelated commercial matter reported materially similar conduct involving unfulfilled commitments, providing an independent account of conduct comparable to that documented in this record.

Across more than 30 documented communications spanning over two years, neither Mr Shirona Gunawardhana, Market Kinetics LLC, nor their representatives have disputed the factual record, the complete non-performance of the contracted services, or the acknowledged refund obligation.

04 / Conduct

The Documented Pattern of Conduct

01Misrepresentation of Capability and CredentialsAlleged funding expertise and network access were represented but not substantiated in practice, and claimed credentials were confirmed as non-certifying by the relevant platform.

Mr Gunawardhana represented specialised expertise and extensive funding relationships. Mr Gunawardhana claimed direct working relationships with family offices, high-net-worth individuals, venture capitalists and private equity firms. He leveraged his premium Black Card membership in the Utah-based Fund Launch education platform to establish qualified credentials. Fund Launch’s co-founder has since confirmed that the membership confers no certification and no endorsement of any kind. The credential that underwrote the engagement was a paid subscription acquired using a portion of the fee paid by our client.

02Misrepresentation of PartnershipsNamed third-party relationships were presented as live funding channels. Not one produced a verifiable outcome or a single lead.

During negotiations, Mr Gunawardhana promoted close personal associations with established institutions and financial groups, including the Nanban Group, claiming they would directly assist with fundraising. No evidence of legitimate funding leads was provided to our client. Nanban Group was subsequently the subject of SEC enforcement actions relating to affinity fraud.

03Non-Performance of Core ObligationsDuring an engagement lasting over 26 weeks, no funding leads, investor engagements, or deliverables were produced despite full client cooperation; responsibility was also transferred without formal contractual amendment.

Despite full compliance and documentation from our client throughout the extended engagement, Market Kinetics failed to produce a single legitimate funding lead, pitch meeting, structural progress milestone or agreed deliverable. Mid-engagement, Mr Gunawardhana withdrew from active correspondence, transferring responsibility to Mr Olujobi without formal written amendments, in violation of contract terms requiring written modifications.

04Acknowledged Refund Obligations and Non-PaymentThe contractual refund obligation was repeatedly acknowledged in writing, yet every repayment deadline was missed. The amount remains unpaid, and the obligation has never been disputed.

Market Kinetics and Mr Gunawardhana issued formal and personal written commitments to return the unearned service fees throughout 2024, and broke every deadline attached to them. The reversal in June 2024 came nineteen days after the obligation had been reaffirmed in writing. It disputed neither the sum, nor the obligation, nor any part of the factual record, failing to meet contractual obligations.

05Corporate Transition, Successor Operations and Associated EntitiesTwo associated entities were incorporated in Delaware while the refund was being deferred. The original entity was subsequently recorded as revoked.

While actively delaying the refund, Mr Gunawardhana and Mr Olujobi concurrently organised successor and associated CONTACTANT entities in Delaware during the same period Market Kinetics was supposedly under new management and the 15 March refund deadline was dismissed as a "mistake." The later preserved Nevada record showed Market Kinetics as revoked.

06Cessation of CommunicationAll communication ceased; formal legal demands issued through counsel in multiple jurisdictions were ignored.

Formal legal demand letters issued through counsel in both jurisdictions have been entirely ignored. Having told the client to "have your attorney write to us to go into arbitration," Market Kinetics then failed to engage when legal counsel intervened.

06 / Commitments and outcomes

Reversal, Bad Faith and Avoidance

Written commitments were made, deadlines broken and explanations revised. The table sets those obligations and commitments against their outcomes.

Commitments and outcomes
Date Obligation/commitment Outcome
June 2023 The parties entered into an agreement for US$65,500, comprising US$61,000 in service fees and a US$4,500 non-refundable filing fee, with a 12–14 week completion timeframe. Clause 2(ix)(b) required a full refund if the contracted deliverables were not satisfied. View the core contractual provisions No deliverables or contractual milestones were achieved despite extensions to December (over 26 weeks). Our client had no reasonable alternative but to terminate the agreement.
January 2024 Following termination, Mr Olujobi acknowledged Market Kinetics’ failure to meet its agreed timeframe and obligations and committed in writing to refund US$61,000 by 15 March 2024. Deadline passed. No payment, no confirmation.
March 2024 Market Kinetics announced "new management and ownership," stated that Mr Olujobi had departed, and described Mr Gunawardhana as holding a "limited advisory role." The 15 March deadline was characterised as an error and moved to 15 June 2024, while the same correspondence stated that Mr Gunawardhana had requested the refund be expedited. No corresponding formal ownership change was identified, and the entity was subsequently recorded as revoked. Deadline dismissed. Obligation restated. Commitment disowned while simultaneously confirmed.
May 2024 Market Kinetics again confirmed the refund obligation multiple times including in writing, stating: "We have not refused to refund what you have paid us… Mr Gunawardhana wanted us to expedite the refund and we will abide by the agreement." Obligation expressly reaffirmed.
June 2024 Nineteen days later, that position was reversed. Our client’s communications were said to have "lacked good faith." Instructed to "pursue arbitration or wait" and to stop writing. The sum, the obligation and the factual record were left undisputed, and no basis for the reversal was provided. Commitment withdrawn. No payment made.

Further deadlines of 5 and 19 July 2024 passed without payment; the latter extension was granted at Mr Gunawardhana’s own request.

The Introducing Party: Instructions Followed, Repayment Withheld

Mr Gunawardhana directed the introducing party to reformat invoices in their personal name, send them to Fort Wayne, Indiana, and restrict correspondence to printed mail. His proposed route addressed only that individual’s contribution, disregarding the larger sums contributed through the client entity. Every instruction was followed, including dispatch of hardcopy documents at personal expense. No repayment followed. After a final appeal concerning personal savings, Mr Gunawardhana blocked the individual.

Independent Corroboration

A separate professional contact reported materially similar abandoned commitments in an unrelated commercial matter. That account is independent of this engagement and raises a serious concern that the conduct was not confined to one transaction.
