The US$61,000 obligation remains outstanding. References to these associated entities as operational successors concern the overlapping personnel, services and promotional material; they do not by themselves establish that either entity assumed Market Kinetics’ debt.

06 / Stated credentials
Fund Launch is a Utah-based fundraising education platform; Black Card is a premium paid membership. Mr Gunawardhana relied on it as a central credential, and the agreement incorporated the platform into the delivery methodology. Its co-founder subsequently confirmed that membership confers no credential, endorsement or certification. Presenting a paid subscription as qualified capability was a material misrepresentation.

07 / Professional associations
In recorded pre-contract discussions, Mr Gunawardhana promoted the Nanban Group, said he was “close with them” and represented that it would assist the fundraising.
Nanban later became the subject of SEC enforcement proceedings concerning alleged affinity fraud. Litigation Release No. 25922 records emergency relief, including an asset freeze and preliminary injunction. Hindenburg Research also published investigative material.
This record makes no allegation that Mr Gunawardhana participated in or knew of the conduct alleged in those proceedings. His promotion of the relationship remains relevant to assessing the representations made to the client and his commercial judgment.
